By registering for and participating in the Anxiety Freedom Mastermind (“AFM”), you (the “Client”) voluntarily agreed and continue to agree to abide by AFM Agreement (this “Agreement”) created and facilitated by The Healthy Psyche, LLC, including any co-coaches (“The Healthy Psyche”).

1. MASTERMIND DETAILS. The Healthy Psyche has the right to modify AFM at any time, for any reason, and will ensure that Client is provided with applicable updates if such updates impact Client’s enrollment. During the Term (as defined below) Client will receive the following support:
1. Membership site with educational modules, including 30+ hours of online video modules.
2. Homeopathy + Lab Literacy Masterclass training
3. Weekly Office Hours, where AFM participants will have the opportunity to speak up, ask questions in the weekly group calls hosted live on Zoom. The links for access will be provided in the onboarding email and inside AFM’s membership site on Kajabi. 
4. 6 downloadable eBooks.
5. Menu and food list for anxiety relief.
6. Exercises resources.
7. Homeopathy Masterclass training.
8. Weekly assessments via Practice Better.
9. Support via Facebook community.
10. Optional upgrade for homeopathic consultation.
11. Any add-ons selected and paid for by Client.
2. TERM. AFM will begin on the start date as specified at the time of enrollment and continue for 12 weeks. Client will receive a form two (2) weeks before the end of their enrollment in AFM, signaling the upcoming expiration. After Client’s enrollment in AFM expires, Client may join the AFM Alumni Group, where additional fees apply and Client must agree to the terms of a new agreement. 
3. LIFETIME ACCESS. Client will have access to AFM’s membership site, including any updates for the lifetime of AFM, with guaranteed access for at least one year after Client’s purchase. This does not include access to private community, group calls, and new bonuses or upgrades not available during the Term.
4. CUSTOMER SERVICE. Customer support can be reached at [email protected] during The Healthy Psyche’s office hours of 9am-5pm MST Monday - Friday. Please allow 48 business hours to respond to messages. Office hours  in AFM’s private community are between 10am-3pm MST. The Healthy Psyche requests Client tags one of the support members to ensure a quick response. Office hours within AFM’s private community are between 10am-3pm MST. 
5. DISCLAIMERS. 
1. PERSONAL HEALTHCARE. AFM is NOT a replacement for any relationship that exists, or should exist, between Client and their own medical provider and/or mental health provider for their own personal healthcare needs. Client agrees to seek the advice of their own medical provider and/or mental health provider regarding any personal health related questions or concerns of Client’s specific health situation, including but not limited to physical or mental health issues. Client agrees to speak with their own medical provider and/or mental health provider before implementing any suggestions obtained through Client’s participation in AFM, including but not limited to nutrition (food, vitamins and/or supplements), exercise and lifestyle habits. Client agrees to never disregard professional medical advice or delay seeking professional advice, because of information obtained through Client’s participation in AFM. Client agrees to continue all current health recommendations made from their own medical provider and/or mental health provider, including pharmaceutical medications. Client agrees to not stop taking any medications without speaking to their own respective medical provider and/or mental health provider. Client agrees to contact their own Medical Provider or Mental Health Provider immediately, if the Client suspects they have a medical problem.
2. General Disclaimer. To the fullest extent permitted by law, The Healthy Psyche, its affiliates, successors, assigns, agents, consultants, representatives, employees, volunteers, and licensees, expressly disclaim any liability for any direct, indirect or consequential loss or damage incurred by participant or others in connection with AFM, including without limitation any liability for any accidents, delays, injuries, harm, loss, expenses, damage, death, lost profits, personal or business interruptions, misapplication of information, physical or mental disease, condition or issue, physical, mental, emotional, or spiritual injury or harm, loss of income or revenue, loss of business, loss of profits, loss of contracts, loss of anticipated savings, loss of data, loss of goodwill, wasted time and for any other loss or damage of any kind (“Claims”), however and whether caused by negligence, breach of contract, or otherwise, even if foreseeable.
3. Assumption of Risk. Client assumes all the risk of their access and any subsequent actions they choose to take as a result of the influence, information or educational materials provided to Client by The Healthy Psyche, any contributors, and any of the other AFM participants. Client takes full responsibility for their business’ health, their personal health and well-being, their actions and decisions, and their personal care during AFM. Client agrees that they must evaluate and bear all risks associated with the use of any content, including any reliance on the accuracy, completeness, or usefulness of such content. 
4. Educational and Entertainment Purposes Only. The information provided by The Healthy Psyche in AFM must not be perceived or relied upon in any way as medical advice or mental health treatment, nor does it create a practitioner-patient relationship in any way. The Healthy Psyche is not providing health care, medical or nutritional therapy services or attempting to diagnose, treat, prevent, or cure in any manner whatsoever any physical ailment, or any mental or emotional issue, disease or condition pertaining to any individual. In addition, AFM is not intended to be a substitute for professional medical advice, diagnosis or treatment that can be provided by Client’s primary care physician (including advanced practice nurse, physician, physician’s assistant, or any other licensed health professional overseeing care) and mental health provider (including psychiatrist, psychologist, therapist, counselor, or social worker). The information provided through AFM has not been evaluated by the Food and Drug Administration. AFM is not a substitute for naturopathic medical consultation.
5. No Guaranteed Outcomes. There is absolutely no guarantee Client will overcome their anxiety as a result of participating in AFM. Client understands that progress and results of AFM can be subjective and can vary greatly depending upon individual circumstances and individual effort invested in the process. AFM is non-refundable. It is the Client's responsibility to give written requests for support, when needed. Client agrees that results are based on variables, out of the control of The Healthy Psyche, and therefore cannot imply any guarantees of successful outcomes.
6. Participant Contributions. The opinions expressed by AFM participants are expressed strictly in their individual capacities, and not on the behalf of The Healthy Psyche or our representatives, sponsors, or partners. The opinions Client or others post in AFM do not necessarily reflect The Healthy Psyche’s opinions. However, The Healthy Psyche does have the right remove discriminatory, hateful, or explicit content in its sole discretion.
7. Content Warning. The content in AFM may contain discussion of topics that trigger Client’s anxiety, Client is responsible to take appropriate steps to protect their mental health and expectations.
6. FEES AND PAYMENT. 
 

• All AFM fees are subject to applicable taxes and fees.

1. Client is responsible for ensuring that their account is in good standing. If at any time Client’s account is not in good standing, The Healthy Psyche may revoke Client’s access until the account is brought into good standing. If the account remains in poor standing for more than 15 business days after written notice, Client’s access to AFM will be terminated and no refund will be provided.
2. If Client chooses the pay in full option, a one-time payment must be submitted at the time of purchase. 
3. If the Client chooses the payment plan, an initial charge must be submitted at the time of purchase, followed by a recurring charge every 30 days for the remainder of the Term.
4. Client agrees the fees for AFM when charged are non-fraudulent and noncontroversial.
5. Client understands that no refunds will be provided in the event of Client’s failure to attend or utilize any part of AFM for any reason, including as a result of an emergency. No discounts or refunds of fees will be given under any circumstances
1. INTELLECTUAL PROPERTY.
1. To honor and protect The Healthy Psyche’s intellectual property, Client agrees all information shared by The Healthy Psyche in AFM’s is proprietary, including but not limited to information, written content, video content, graphic content, and other materials (“Intellectual Property”) remains the sole property of The Healthy Psyche.
2.  Client shall not disclose, reproduce, gift, resale, license or otherwise distribute in part or in whole any Intellectual Property to any third party.
3. Client shall not use any Intellectual Property for a commercial purpose, including but not limited to teaching, presenting, or otherwise sharing any of the Intellectual Property in part or in whole without the expressed written permission of The Healthy Psyche for Client’s own business interests.
2. LIMITED LICENSE. Subject to and in accordance with this Agreement and other guidelines or instructions The Healthy Psyche includes in AFM, The Healthy Psyche grants a limited, non-transferable, non-sublicensable, non-exclusive, revocable license (“License”) to make individual use of AFM. More specifically, unless explicitly authorized in this Agreement or by the owner of the materials, Client may not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works, exploit, resell, share, trade or distribute in any manner or medium (including by email or other electronic means) any material from AFM(s). Client may, however, from time to time, download and/or print one copy of the individual pages of AFM for Client’s individual use, provided that Client keeps intact all copyright and other proprietary notices. The Healthy Psyche reserves the right to terminate Client’s access to AFM at any time if The Healthy Psyche finds that Client has violated this Agreement.
3. RECORDINGS. Client shall not capture any AFM sessions in any capacity, including but not limited to voice recording, screen recording, or photography without prior written consent from The Healthy Psyche. The Healthy Psyche provides access to the Zoom recordings, in the Private Community, as long as technology is cooperating.
4. TERMINATION. Client understands that Client is free to terminate Client’s participation in AFM at any time. However, Client will not receive a refund for the remainder or any portion of AFM. In the event Client breaches any terms of this Agreement, The Healthy Psyche reserves the right to terminate Client’s participation in AFM effective immediately, without any refund.
5. RELEASE. Client acknowledges that as part of their participation in AFM Client may be asked to provide a headshot, biography, testimonial, be photographed, filmed, or otherwise recorded during AFM (the “Content”), for The Healthy Psyche’s advertising, promotion, and any other commercial and business purposes The Healthy Psyche may deem fit. Content will not include any photographs or recordings of the mediation process. Client irrevocably consents to The Healthy Psyche, the right use, publish in whole or in part the Content, which may include the publicly display Client’s name, biography and likeness, without compensation, in any other manner or media now known or hereinafter invented, throughout the world, without restriction as to alterations or modifications, for any purpose described above. Client understands that The Healthy Psyche will be the sole property of the Content, and Client waives any and all rights of publicity, privacy, or other rights therein. Client further waives any and all rights to bring an action at law or equity related to the Content against The Healthy Psyche, its affiliates, successors, assigns, agents, consultants, representatives, employees, volunteers, and licensees, and release them from any and all liability whatsoever related to the Content.
6. CONFIDENTIALITY AND NON-DISCLOSURE. Client agrees to preserve the sanctity and safety of AFM. Client understands during AFM, Client will have access to and learn about non-public, confidential, or proprietary information ("Confidential Information") disclosed by The Healthy Psyche and each participant in AFM (each “Disclosing Party''). Client hereby agrees to protect and safeguard the confidentiality of all such Confidential Information with at least the same degree of care as Client would protect their own Confidential Information, and Client will not use Confidential Information in any manner to the Disclosing Party's detriment. To provide Client with the highest quality of service, Client understands The Healthy Psyche, may discuss, and receive independent coaching on certain topics anonymously and hypothetically with other resources. In addition to all other remedies available at law, the Disclosing Party may seek equitable relief (including injunctive relief) against the to prevent the breach or threatened breach of this Section and to secure its enforcement. Client agrees not to harvest or otherwise collect information about others, including E-mail addresses, or to use information obtained from the Services to send other users unsolicited E-mail of any kind.
7. CONTENT STANDARDS. To foster a supportive and productive environment, during AFM the following content standards apply to any and all contributions and communication with The Healthy Psyche and AFM participants (“Participant Contributions”). Participant Contributions must comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, Participant Contributions must not: (i) contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable, (ii) promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age, (iii) promote any illegal activity, or advocate, promote, or assist any unlawful act (iv) infringe or misappropriate the Intellectual Property, (v) not honor anyone’s Confidential Information, or (v) contains harmful content such as malware, viruses, time bombs, and other computer programming routines that could damage or interfere with a system, program, data, or personal information. If The Healthy Psyche is made aware of and determines that Participant Contributions have violated these Content Standards, The Healthy Psyche will take commensurate action to restore a supportive and productive environment, including the removal of any participant from AFM who has violated these Content Standards, without any refund.  
8. SURVIVAL. Client understands that the terms of this Agreement shall survive the termination or completion of AFM. 
9. FORCE MAJEURE. The Healthy Psyche shall not be liable or responsible for, nor be deemed to have defaulted under or breached this Agreement, for any failure, interruption, adaptation in format or scheduling, or delay in fulfilling or performing any term of this Agreement, when and to the extent such failure, interruption, adaptation in format or scheduling, or delay is caused by or results from the following force majeure events ("Force Majeure Events"): (a) acts of God; (b) flood, fire, earthquake or explosion; (c) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest; (d) government order or law; (e) pandemic; (f) action by any governmental authority; (g) national or regional emergency; (h) travel restrictions; (i) shortage of adequate power or transportation facilities; and (j) other events beyond the reasonable control of The Healthy Psyche or contributors. The Healthy Psyche shall give notice as soon as reasonably possible to all AFM participants of the occurrence of a Force Majeure Event. The Healthy Psyche shall use diligent efforts to end the failure, interruption, or delay and ensure the effects of such Force Majeure Event are minimized. The Healthy Psyche shall resume or reschedule the performance of its obligations as soon as reasonably practicable after the removal of the cause. 
10. DISPUTE RESOLUTION. In the unlikely event of a dispute arising from or relating to AFM or this Agreement, the dispute shall be settled by binding arbitration in Arizona, which will occur via telephone by an arbitrator that is mutually approved by the parties. The costs of the arbitration will be shared equally by the parties; provided, that the prevailing party will be entitled to reimbursement by the other party of its reasonable costs and expenses incurred therein, including its reasonable attorneys’ fees and costs. Client agrees to first notify The Healthy Psyche privately by emailing [email protected].
11. LIMITATION OF LIABILITY. CLIENT’S PARTICIPATION IN AFM IS AT CLIENT’S OWN RISK. NEITHER, THE HEALTHY PSYCHE NOR ANY OF ITS SUBSIDIARIES, DIVISIONS, AFFILIATES, AGENTS, REPRESENTATIVES OR LICENSORS (INCLUDING OUR INDEPENDENT CONTRACTOR CONTRIBUTORS) SHALL BE LIABLE TO CLIENT OR ANYONE ELSE FOR ANY LOSS OR INJURY OR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR SIMILAR DAMAGES ARISING OUT OF CLIENT’S PARTICIPATION IN AFM AND THE INFORMATION AVAILABLE THROUGH AFM OR ARISING OUT OF ANY ACTION TAKEN IN RESPONSE TO OR AS A RESULT OF ANY INFORMATION AVAILABLE THROUGH AFM. CLIENT HEREBY WAIVES ANY AND ALL CLAIMS AGAINST THE HEALTHY PSYCHE AND ITS SUBSIDIARIES, DIVISIONS, AFFILIATES, AGENTS, REPRESENTATIVES AND LICENSORS (INCLUDING OUR INDEPENDENT CONTRACTOR CONTRIBUTORS) ARISING OUT OF CLIENT’S PARTICIPATION IN AFM.
12. WAIVER AND RELEASE OF LIABILITY. Client fully and forever releases and discharges The Healthy Psyche, as well as any of its affiliates, agents, contractors, officers, directors, shareholders, employees, joint venture partners, successors, transferees, assignees, licensees, volunteers, contributors, any AFM participants, and all others involved in AFM (collectively “Released Third Parties”), as applicable, from any and all Claims, whether such Claims arise from negligence, breach of any duty imposed by law, mistake or error in judgment, or from any other cause, and whether such claims are known or unknown, or suspected or unsuspected (all such claims, demands, losses, liabilities, damages and causes of action are referred to collectively herein as the “Released Claims”). 
13. AGREEMENT NOT TO SUE; INDEMNITY. Client covenants and agrees that (i) Client will not institute or attempt to institute any legal action, arbitration, demand or proceeding against The Healthy Psyche or Released Third Parties based upon any Released Claim, (ii) Client will indemnify, defend and hold harmless The Healthy Psyche and Released Third Parties from and against any losses, claims, liabilities, expenses or damages, including attorneys’ fees and costs, incurred in connection with the defense of any Released Claim or any other breach of Client’s obligations under this Agreement, (iii) Client will indemnify, defend and hold harmless The Healthy Psyche and Released Third Parties for any and all claims or demands, including reasonable attorney's fees, that arise from or otherwise relate to use of AFM and related materials, and (iv) Client’s violation of this Agreement or the rights of another.
14. CHOICE OF LAW. This Agreement shall be governed by the laws of the State of Arizona without regard to its conflicts of law provisions. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be fully severable, and this Agreement shall be construed and enforced as if such provision had never comprised a part of this Agreement. 
15. ENTIRE AGREEMENT. This Agreement represents the entire agreement between the parties with respect to the subject matter of this Agreement and supersedes all prior agreements and understandings between the parties.

I HAVE READ, UNDERSTAND, AND AGREE TO THE TERMS AND CONDITIONS SET OUT IN THIS AGREEMENT.
